PARAMUS TRANSFORM LLC TERMS OF SERVICE

Paramus Transform LLC (“Paramus,” “we,” or “us”) provides a web-based platform offering large language model (LLM) agent services, data-driven tools, and software applications to assist in chemometrics, data analysis, and model generation (collectively, our “Services”). These Terms of Service (“Terms”) apply to your access to and use of our Services through paramus.ai.
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A MANDATORY ARBITRATION PROVISION IN SECTION 16, REQUIRING THAT DISPUTES BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS. BY USING OUR SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

1. Eligibility
To use our Services, you must be at least 18 years of age. By using our Services, you represent that you meet this requirement. If you’re using our Services on behalf of an organization, you affirm that you’re authorized to do so, and all references to “you” apply to both you and the organization.
2. User Accounts and Security
You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and all activities that occur under your account. If you suspect unauthorized access, notify us immediately at mail@paramus.ai.
3. User Content
(a) Ownership: You retain all rights to content you upload, share, or input into our Services (“User Content”).
(b) License to Use Content: By using our Services, you grant Paramus a non-exclusive, royalty-free, worldwide license to use, reproduce, and process your User Content solely to operate, improve, and provide our Services.
(c) Your Responsibilities: You warrant that you own or have permission to use all User Content and that its use complies with applicable laws and does not infringe on third-party rights.
4. Prohibited Conduct
You agree not to:
- Use our Services for unlawful purposes or in violation of these Terms.
- Upload harmful, offensive, or unauthorized content.
- Attempt to reverse engineer, interfere with, or disrupt the Services.
- Use automated means (like bots or scrapers) to access the Services without our permission.
5. Subscription and Payment Terms
If you subscribe to paid features or services, you agree to the specified fees, billing cycles, and refund policies outlined during purchase. Subscriptions will renew automatically unless canceled before the renewal date.
6. Intellectual Property
All rights, title, and interest in our Services, including software, algorithms, and branding, belong to Paramus or its licensors. You may not reproduce, distribute, or create derivative works from our Services without prior written consent.
7. Feedback
We welcome feedback and suggestions regarding our Services. By submitting feedback, you grant Paramus the right to use it without restriction or compensation.
In addition, Paramus may use anonymized and aggregated interaction data, prompts, model outputs, ratings, error reports, and explicit user feedback (“thumbs up/down”, flagged responses, free-text comments) to evaluate, debug, and improve its own AI systems, models, retrieval pipelines, and Services. Such feedback is submitted from the Paramus Workbench without any user identifiers attached: no name, email, account ID, IP address, or session token is transmitted alongside the feedback payload, and the feedback channel cannot be linked back to a specific user. Because the data is anonymous at the point of collection, no individual opt-out is required for this use.
8. Publicity and Affiliation
By using the Services, you agree that Paramus Transform LLC may identify the institutional or organizational affiliation you disclose during registration or use (e.g., your university, research institute, company, or laboratory) in our marketing materials, website, presentations, and scrolling banners, solely to indicate that individuals from such institutions are part of our user community.
(a) Text only. We will use text-only references to the name of the institution. We will not display official logos, seals, or trademarks without separate prior written consent from the institution or its authorized representative.
(b) No endorsement implied. A reference under this Section does not assert that the institution itself is a customer, partner, sponsor, or endorser of Paramus, only that one or more of its affiliated individuals use the Services. We will not state or imply that the institution endorses, sponsors, or is a customer of Paramus.
(c) Opt-out. If you, your institution, or its authorized representative prefer not to be listed, contact us at mail@paramus.ai. We will remove the reference within 10 business days of receiving the request and will not reinstate it absent affirmative consent.
(d) Restricted institutions. This Section does not apply where the institution’s policies, applicable law, or your contract with the institution prohibit such use; in that case, no reference will be made.
(e) Accuracy. You are responsible for the accuracy of the affiliation you provide. If your affiliation changes or ends, you may update or remove it via your account or by contacting us.
9. Third-Party Services
Third-Party Services: Our website may integrate services provided by third-party entities, including (but not limited) to HubSpot and Ahrefs.
- No Control Over Third-Party Services: We do not own or control these third-party services and, therefore, are not responsible for their content, functionality, or availability.
- User Responsibility: Your interactions with these third-party services are solely between you and the respective providers.
- No Endorsement: The inclusion of third-party services on our website does not imply endorsement or recommendation.
- Limitation of Liability: We shall not be liable for any damages or losses arising from your use of or reliance on third-party services.
- Review Third-Party Terms: We advise you to review the terms and conditions and privacy policies of any third-party services before engaging with them.
- Third-Party App Store: The term “App Store” (or marketplace) is used broadly and includes any third-party AI models, software applications, plug-ins, calculation libraries, scientific or numerical packages, datasets, data packages, knowledge bases, ontologies, prompt or workflow templates, and similar artifacts made available through Paramus. All such items are external to Paramus, are provided by their respective authors, developers, or data publishers, and are made available “as is” without warranty of any kind. Paramus is not responsible for the functionality, accuracy, scientific validity, fitness for a particular purpose, security, licensing compliance, or legality of any such third-party item. Paramus only warrants items that are explicitly identified as developed and published by Paramus Transform LLC.
- Intellectual Property of Third-Party Items: All intellectual property rights in third-party AI models, applications, calculation libraries, datasets, data packages, and other items made available through the App Store remain exclusively with their respective owners, authors, developers, or data publishers. Paramus claims no ownership of such third-party items and grants no rights to them beyond enabling access through the Platform; your rights are governed solely by the license or terms accompanying each item.
- No Modification or Reverse Engineering of Third-Party Items: Paramus does not modify, alter, decompile, disassemble, reverse engineer, or derive the source form of third-party items, and you agree not to do so either, except to the limited extent expressly permitted by the item’s license or by mandatory applicable law. You will comply with all license terms, attribution requirements, and usage restrictions imposed by the owner of each third-party item.
- External Cloud and Compute Services: Some Services may run on, integrate with, or invoke external cloud, compute, storage, or model-inference providers (e.g., hyperscalers, GPU clouds, third-party model APIs). These providers operate under their own terms and SLAs. Paramus is not responsible for outages, data handling, billing, or other actions of such external cloud services beyond Paramus’s own platform.
10. App Store Rules, Payments, and Takedown
This Section supplements Section 9 and applies to all third-party items distributed through the Paramus App Store (AI models, applications, plug-ins, calculation libraries, datasets, data packages, and similar artifacts).
(a) No fees today; pass-through only. Paramus currently charges no listing, hosting, distribution, or revenue-share fee to App Store providers. Providers may offer their items free of charge or for a fee set entirely by the provider. Where a provider charges a fee, Paramus acts solely as a technical pass-through for micro-payments between you and the provider; Paramus is not the seller, merchant of record, or beneficiary of those payments and does not collect a commission. Paramus reserves the right to introduce platform fees in the future with prior notice. Paramus’s revenue derives from the Paramus operating platform itself, not from App Store providers.
(b) No refunds by Paramus; provider responsibility. All refunds, chargebacks, billing disputes, taxes, invoicing, currency, and payment-related obligations are the sole responsibility of the third-party provider. Paramus does not issue refunds for third-party items and is not a party to your purchase agreement with the provider. You must address any refund or billing dispute directly with the provider in accordance with the provider’s terms.
(c) Acceptable Use. Items submitted to or distributed through the App Store, and your use of such items, must not: (i) infringe intellectual property, privacy, or publicity rights; (ii) contain malware, exploits, or unauthorized data-exfiltration capabilities; (iii) facilitate the synthesis, acquisition, or weaponization of chemical, biological, radiological, or nuclear agents, controlled substances, or regulated precursors, or circumvent export controls or sanctions; (iv) generate or distribute content that is illegal, deceptive, defamatory, or sexually exploitative of minors; or (v) violate Section 4 (Prohibited Conduct).
(d) Provider warranties (pass-through). Each provider represents and warrants to its end users that it owns or has the right to distribute its item, that the item complies with applicable law, and that any descriptions, training-data provenance statements, performance claims, intended-use statements, and license terms are accurate. Such representations are made by the provider, not by Paramus.
(e) Right to remove or suspend. Paramus may, at its sole discretion and without prior notice, remove, suspend, de-list, geo-restrict, or disable any third-party item or any user’s access to it, for safety, legal, security, license-violation, IP-infringement, regulatory, or quality reasons, or for breach of these Terms. Items may also be updated, replaced, or deprecated by their providers without notice; Paramus is not obligated to preserve previous versions.
(f) No support; no compatibility warranty. Paramus does not provide user support for third-party items. Support, updates, security patches, and documentation are the responsibility of the provider, if offered at all. Paramus does not warrant that any item is compatible with any other item, your data, your workflow, or any specific scientific, regulatory, or business purpose.
(g) Open-source and dataset licenses. Items may incorporate open-source software or licensed datasets (e.g., MIT, Apache 2.0, GPL, CC-BY, CC-BY-SA, CC-BY-NC, research-only). You are responsible for complying with all such license terms, including attribution, share-alike, non-commercial, and source-availability obligations, and for ensuring that your intended use is compatible with the license.
(h) Personal data in datasets. Providers must not submit, and you must not use, datasets containing identifiable personal data without a lawful basis under applicable data protection law (including GDPR/UK GDPR). Paramus may remove any dataset reasonably suspected of unlawful personal-data inclusion.
(i) IP infringement notices (DMCA). If you believe an item infringes your copyright, send a written notice under 17 U.S.C. § 512 to our designated agent at mail@paramus.ai including: (1) identification of the copyrighted work; (2) identification of the allegedly infringing item and its location on the Platform; (3) your contact information; (4) a statement of good-faith belief that the use is unauthorized; (5) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the rights owner; and (6) your physical or electronic signature. Counter-notices follow the same procedure under § 512(g). Paramus maintains a repeat-infringer policy and will terminate accounts of repeat infringers in appropriate circumstances.
(j) EULA pass-through. Each third-party item may be accompanied by its own license or end-user license agreement (EULA). By installing or using the item, you accept that EULA between you and the provider. Where a provider does not supply a EULA, the item is licensed to you for internal evaluation use only, non-transferable, non-sublicensable, with no warranty, and Paramus may revoke availability at any time. Paramus is a third-party beneficiary of each provider EULA solely to the extent necessary to enforce these Terms.
(k) Independent relationship. Providers are independent of Paramus. Nothing in these Terms creates an agency, partnership, joint venture, employment, or fiduciary relationship between Paramus and any provider or between Paramus and any user with respect to a third-party item.
(l) Export controls and sanctions. Providers and users must comply with all applicable export-control and sanctions laws, including the U.S. Export Administration Regulations, OFAC sanctions, and the EU Dual-Use Regulation. Items, technology, and data may not be exported, re-exported, or made available to embargoed jurisdictions or sanctioned parties.
(m) Geographic availability. Items may be unavailable or restricted in certain jurisdictions for legal, regulatory, or licensing reasons.
(n) Beta and pre-release items. Items marked beta, preview, or experimental are provided without service-level commitments and may be modified or discontinued at any time.
(o) Vulnerability reporting. Suspected security vulnerabilities in the Platform or in third-party items may be reported to mail@paramus.ai. Paramus will forward reports concerning third-party items to the relevant provider. Paramus assumes no liability for vulnerabilities originating in third-party items.
(p) Telemetry and provider data collection. Third-party items may collect telemetry, usage, or operational data when installed, invoked, or executed on your data. Such collection is governed solely by the provider’s own privacy notice and license terms, not by Paramus. See our Privacy Policy, Section 8 (Third-Party App Store), for additional detail on the data flows associated with third-party items.
(q) Provider Agreement (separate terms). Listing or distributing an item through the Paramus App Store is governed by a separate App Store Provider Agreement, made available to providers through the Paramus Developer Portal at developers.paramus.ai. By submitting an item, the provider agrees to that Provider Agreement in addition to these Terms. The Provider Agreement contains the operational submission checklist (IP ownership warranty, license grant to Paramus for hosting and distribution, content and safety rules, security and vulnerability obligations, indemnity to Paramus and end users, telemetry disclosures, takedown cooperation, export-control attestations, and termination consequences) and is updated from time to time. In the event of a conflict between these Terms and the Provider Agreement with respect to provider obligations, the Provider Agreement controls; with respect to end-user rights, these Terms control.
11. Limitation of Liability
To the fullest extent permitted by law, Paramus is not liable for any indirect, incidental, or consequential damages arising from your use of our Services. Our total liability for any claim is limited to $100.
12. Disclaimers
Our Services are provided “as is” without warranties of any kind, whether express or implied. We do not guarantee that the Services will be uninterrupted or error-free.
13. AI Outputs, Experiments, and Human Review
Our Services use artificial intelligence, large language models (LLMs), automated reasoning, and statistical models. AI-generated outputs (including suggestions, predictions, simulated experiments, generated procedures, code, parameters, citations, and analyses) may be incomplete, inaccurate, biased, fabricated, or unsafe.
(a) Mandatory human review. Before performing any physical experiment, applying any laboratory procedure, scaling up a process, making a clinical, regulatory, environmental, safety, or business decision, or otherwise relying on an AI-generated result, you must perform a qualified human cross-check by a person with appropriate scientific, engineering, and safety expertise. AI outputs from the Services are decision-support information only and are not instructions, prescriptions, or expert advice.
(b) No responsibility for AI outcomes. Paramus is not responsible or liable for any consequences, damages, injuries, losses, or non-compliance arising from the use or application of AI-generated outputs, including failed, hazardous, or non-reproducible experiments, incorrect computations, hallucinated references, or actions taken without adequate human verification.
(c) Your responsibility. You are solely responsible for: (i) verifying the correctness, applicability, and safety of any AI output before use; (ii) compliance with all laws, regulations, institutional policies, and good laboratory, manufacturing, and clinical practices; and (iii) ensuring that operators, students, and downstream users are informed that the output originated from an AI system and requires human validation.
14. Indemnification
You agree to indemnify and hold Paramus harmless from any claims, liabilities, or expenses arising from your use of the Services or violation of these Terms.
15. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any legal action must be brought in the courts of Colorado Springs, CO, unless arbitration applies.
16. Dispute Resolution & Arbitration
Any disputes will be resolved through binding arbitration in Colorado Springs, CO, unless you opt out within 30 days of accepting these Terms by emailing mail@paramus.ai. Class actions are not permitted.
17. Modifications to Services and Terms
Paramus may update these Terms at any time. We will notify you of significant changes via email or through our website. Continued use of our Services after changes become effective constitutes your acceptance.
18. Termination
We reserve the right to suspend or terminate your access to the Services at our discretion, without notice, if we believe you have violated these Terms.
